Terms and Conditions of Website Development and Services1. Agreement to Terms:
By commissioning website design and development services from Lead Gen Labs ("Provider"), the commissioning party ("Client") agrees to be bound by these terms and conditions, which outline the responsibilities and obligations of both parties.2. Project Requirements and Client Responsibilities:
The Client is responsible for providing all necessary content, materials, and information required for the project's completion, including but not limited to text, images, logos, and branding guidelines, in the requested formats. The Client agrees to review the Provider's work, provide timely feedback, and approve deliverables within the agreed-upon timelines.3. Scope of Work and Revisions:a. Major Revisions: Major revisions must be identified and completed before the final design selection. These revisions include significant changes to the design layout, structure, or content strategy. The process ensures that once the final design is approved, the focus shifts to populating content and images, with no further major structural or design changes.
b. Content and Images: Content and image integration are considered minor changes and can be adjusted throughout the website building process. The Client is encouraged to provide content and images in a timely manner to facilitate smooth progression to subsequent development stages.c. Minor Changes: Minor changes, including text edits, image replacements, and minor layout tweaks, are part of the iterative development process. These changes are accommodated to ensure the final product aligns with the Client's expectations and do not constitute a major revision.d. Additional Work: Requests beyond the included revisions or outside the initial scope will be considered additional work and quoted separately. The Client's approval of additional quotes is required before extra work commences.4. Content and Materials:
The Client is responsible for providing all content. Should the Provider assist in content creation or substantial content editing, additional charges will apply, subject to the Client's approval of a provided quote.5. Technical Support:
The Provider will install and set up the website on the agreed-upon server and implement basic features such as Google Analytics. The Provider is not responsible for ongoing server management, website hosting, email, or other services relating to website hosting unless otherwise agreed upon.6. SEO Services:
If the Client opts for SEO services, these will be detailed in a separate agreement outlining the scope, deliverables, and costs associated with the SEO package selected by the Client.7. Liability and Indemnification:
The Provider is not liable for any indirect, special, or consequential damages, including but not limited to lost profits or data, arising out of or in connection with the services provided. The Client agrees to indemnify and hold harmless the Provider from any claims, damages, or expenses resulting from the Client's use of the provided services.8. Copyrights and Ownership:
Upon final payment, the Client will own the visual elements of the website. The Provider retains the right to use completed projects for portfolio and marketing purposes. The Client guarantees that all elements provided for the project are either owned by the Client or that the Client has permission to use them.9. Payments:
Payment terms, including any deposit requirements, payment schedule, and accepted payment methods, will be specified in the project proposal or contract.10. General Provisions:
These terms and conditions represent the entire agreement between the Client and the Provider, superseding all prior agreements. Amendments or changes to these terms must be in writing and signed by both parties.
